Agreement and scope
This Asset Licence Agreement covers the Standard Licence and the Unlimited Licence for NYCC raster photographs, images, illustrations and vector assets. It is incorporated into each completed purchase. Nunavut Youth Creative Collective owns the catalogue assets. The purchaser receives only the rights expressly described here; all other rights are reserved by NYCC.
Licence grant
Subject to successful payment and compliance with this Agreement, the purchaser receives a non-exclusive, non-transferable, non-sublicensable licence to use the purchased asset worldwide for lawful purposes in the purchaser’s own projects. The licence is intended to be perpetual for completed uses, unless terminated because of breach or otherwise required by law. No ownership of copyright or the original work is transferred.
Standard Licence and Unlimited Licence
Each purchase is made under the Standard Licence or the Unlimited Licence, as chosen on the asset page and shown on the licence record in the purchaser’s account. Every section of this Agreement applies to both. Where the purchaser chose the Unlimited Licence, the rights below apply in addition and take precedence over any limit in this Agreement on print runs, merchandise and resale products, or on who may use the asset.
The NYCC Unlimited License provides expanded commercial usage rights beyond the Standard License.
It permits unlimited print runs, use in physical merchandise and products intended for resale, and use by authorized employees and contractors working on behalf of the purchasing individual or organization.
The license is perpetual, worldwide, and non-exclusive, allowing continued use without additional licensing fees, provided the use complies with NYCC’s licensing terms.
Restrictions: The licensed asset may not be sold, sub-licensed, transferred, or redistributed as a standalone digital file or reusable stock asset. The license does not transfer copyright ownership or grant exclusive rights. Use of the asset must comply with applicable laws and any restrictions identified for the asset.
All usage remains subject to NYCC’s full Licensing Terms and Conditions.
Who may use the asset
The licence should cover the purchasing individual or one purchasing legal entity and its employees working on that entity’s projects. Contractors may receive the file only when necessary to complete work for the licensee, must follow the same restrictions, and should delete working copies when the project ends. The asset may not be shared as a general team resource outside the licensed organization.
Permitted uses
Subject to release/status limitations on the asset page, permitted uses may include websites and apps; social media; presentations; reports; advertising and marketing; editorial content; brochures and publications; signage; internal communications; educational materials; and other print or digital materials where the asset is part of a larger design or communication rather than the primary standalone product being resold.
Permitted modifications
The licensee may crop, resize, compress, colour-correct, overlay text, combine with other design elements and adapt vector components as reasonably required for the licensed project. Modifications must not create an unlawful, deceptive, defamatory or materially misleading depiction, and must respect any continuing moral rights or specific restrictions stated with the asset.
Prohibited redistribution and resale
The asset may not be sold, sublicensed, gifted, uploaded to another stock library, distributed as a source file, made available for public download, or included in a product or template in a way that lets a customer extract or reuse the original asset. The licensee may not claim ownership or authorship of the underlying asset.
Logos, trademarks and resale products
Unless NYCC expressly approves different rights, an asset should not be used as or within a logo, trademark or service mark. It should not be used in merchandise, templates, print-on-demand goods or other products where the asset itself is the primary value and is reproduced for resale in substantially unchanged form. Counsel should confirm whether any limited merchandise allowance is desired.
AI, datasets and automated training
Recommended Phase 1 restriction: purchased files may not be used to train, fine-tune or evaluate generative AI or machine-learning models, build biometric or facial-recognition datasets, create stock-media datasets, or generate derivative assets intended for redistribution as competing stock content without separate written permission from NYCC. Confirm this business rule before launch.
Unlawful, harmful or misleading uses
Assets may not be used in unlawful, hateful, defamatory, pornographic or fraudulent content; to harass or exploit a person; to falsely imply endorsement; or in a sensitive context that a reasonable person would view as misleading or harmful to a depicted person or community. Any culturally sensitive restrictions supplied with an asset must also be followed.
Model, property and third-party rights
NYCC does not currently provide model releases or property releases with marketplace assets. The licence grants copyright permission only. It does not grant privacy, publicity, trademark, property or other third-party rights. Customers are responsible for determining whether an intended use involving identifiable people, private property, trademarks or other third-party rights requires additional permission, and should contact NYCC when uncertain.
Attribution and creator credit
Default attribution requirements should be confirmed by NYCC. A practical rule is that creator credit is encouraged and may be required where the asset page specifically says so, but commercial design uses should not require credit unless stated. Any mandatory credit wording should be displayed before purchase and stored with the licence record.
Copyright and moral rights
Copyright in catalogue assets is owned by Nunavut Youth Creative Collective. Purchasing a licence does not transfer copyright ownership. Any continuing moral rights or other rights that cannot lawfully be waived must still be respected, and the licensee must not use or modify an asset in a way that infringes those rights.
File sizes and formats
For raster assets, the purchased file size or variation is the version licensed and delivered for that order; purchasing a smaller variation does not automatically entitle the purchaser to a higher-resolution file. Vector purchases include only the file formats shown at checkout. A separate purchase may be required for another priced variation unless NYCC chooses to provide an upgrade.
Backups and security
The licensee may keep reasonable backup copies for continuity and archiving, but those copies remain subject to the licence and must not be shared with unlicensed parties. Account credentials, download links and source files should be protected from unauthorized access.
Termination for breach
If the licensee materially breaches this Agreement and does not cure the breach where a cure is reasonably available, the licence may terminate. On termination, the licensee must stop new uses and remove or destroy unlicensed source copies where reasonably possible, subject to any rights that cannot lawfully be terminated. NYCC may also pursue other remedies available by law.
No warranties and liability
NYCC should warrant only that it has authority to grant the licence rights expressly stated, subject to any asset-page exceptions and counsel-approved limitations. The licence should not promise that an asset is suitable for every use or that rights not expressly listed are cleared. Liability and claim procedures should align with the main Terms and applicable consumer law.
Governing law and contact
This Agreement should be governed by the laws of Nunavut and applicable federal laws of Canada, subject to mandatory rights that cannot be waived. Licence questions, requests for broader rights and suspected infringement can be sent to mac@nuycc.ca or mailed to Nunavut Youth Creative Collective, 436 Atungauyait Drive, Iqaluit, NU X0A 2H0, Canada.
