Acceptance and eligibility
These Terms govern access to the NYCC website and the purchase and licensing of digital assets. By using the marketplace, creating an account, or completing an order, the user agrees to these Terms, the Standard Asset Licence Agreement, applicable checkout terms and the Privacy Policy. A purchaser must have legal capacity to enter a binding agreement; in Nunavut the age of majority is 19. A person purchasing for an organization confirms authority to bind that organization.
Accounts and security
Users must provide accurate account information, keep credentials confidential and promptly report suspected unauthorized access. NYCC may require email verification or other reasonable security steps. Users are responsible for activity under their account unless caused by NYCC’s own failure to use appropriate safeguards or otherwise required by law.
Catalogue and asset availability
NYCC may add, remove, replace or update catalogue items and metadata. Previews may be watermarked, compressed or lower resolution than purchased files. Availability of a preview does not transfer ownership or grant a licence. Any release status, creator credit, location, file format and technical details shown on an asset page should be checked before purchase.
Prices, taxes and checkout
All website prices are stated and charged in Canadian dollars (CAD). NYCC has advised that it is tax-exempt and no sales tax will be added at checkout. Prices should be shown clearly before payment and should not include hidden mandatory fees.
Payment
Orders are completed only after the payment provider authorizes payment. NYCC has not yet selected the provider. Once selected, payment will be processed through that third-party service under its applicable terms, and NYCC may receive only the transaction and status information needed to complete and reconcile the order.
Digital assets are licensed, not sold
Purchasing an asset grants the rights described in the Standard Asset Licence; it does not transfer copyright, moral rights, trademarks, personality rights or other ownership rights. Nunavut Youth Creative Collective owns the catalogue assets. Rights not expressly granted remain reserved.
Delivery and downloads
After successful payment, purchased files should be made available through the customer account or another secure delivery method. The purchaser is responsible for downloading and storing lawful backup copies within the licence terms. NYCC may apply reasonable security controls, time-limited links or re-authentication to protect files from unauthorized distribution.
Refunds and digital-download issues
Refunds are governed by the Refund & Digital Download Policy and mandatory consumer rights. Because downloadable files can be copied once access is provided, change-of-mind refunds may be limited after a file has been accessed or downloaded, except where required by law. NYCC should provide remedies for duplicate charges, materially incorrect or corrupt files, failed delivery or other verified problems.
Permitted website use
Users may browse, search, maintain an account and purchase assets for lawful purposes. Automated scraping, bypassing access controls, credential sharing, interference with security, malware, fraudulent purchases, reverse engineering of protected delivery systems, or attempts to obtain original files without a valid licence are prohibited.
Site content and intellectual property
The NYCC site, branding, interface, text, catalogue structure and owned digital assets are protected by applicable intellectual-property laws. Except for rights expressly granted in a purchased Standard Asset Licence, users may not copy, reproduce, republish, resell or redistribute site content or source files.
Release status and sensitive contexts
NYCC does not currently provide model releases or property releases with marketplace assets. A copyright licence does not by itself clear privacy, publicity, trademark, property or other third-party rights. Users are responsible for evaluating whether an intended use requires additional permission and should contact NYCC when uncertain, particularly for sensitive or commercial contexts involving identifiable people or private property.
Third-party services and links
The website may rely on payment, hosting, analytics, email or other third-party providers and may link to external sites. NYCC does not control third-party terms or privacy practices. Use of those services may be subject to separate terms.
Disclaimers
To the maximum extent permitted by law, the website and digital assets are provided on an “as available” basis. NYCC does not guarantee uninterrupted availability, that every asset will suit a purchaser’s specific legal or creative purpose, or that third-party rights not expressly stated on the asset page are cleared. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
Limitation of liability
To the maximum extent permitted by applicable law, NYCC should not be liable for indirect, incidental, special or consequential losses arising from site use, inability to access files, or misuse of an asset. Any monetary cap should be reviewed by counsel and must not limit liability that cannot lawfully be excluded. A common structure is to cap direct contractual claims at the amount paid for the affected order, subject to statutory exceptions.
Indemnity
A purchaser may be required to defend and indemnify NYCC and applicable creators against third-party claims arising from the purchaser’s unlawful use, prohibited redistribution, breach of the licence, or infringement caused by materials the purchaser adds to or combines with an asset. Final scope and procedure should be confirmed by counsel.
Suspension and termination
NYCC may suspend access or terminate an account for material breach, fraud, chargeback abuse, unlawful conduct or security risk. Termination should not retroactively erase valid rights in properly licensed files unless the licence itself terminates because of breach. Users remain responsible for outstanding charges and continuing restrictions on asset use.
Governing law and disputes
These Terms should be governed by the laws of Nunavut and the applicable federal laws of Canada, without giving effect to conflict-of-law rules, unless mandatory consumer law requires otherwise. The parties should first attempt to resolve disputes through written notice and good-faith discussion. Any forum or jurisdiction clause should be finalized by NYCC counsel.
Changes and miscellaneous terms
NYCC may update these Terms prospectively. Material changes should be clearly posted and, where appropriate, communicated to account holders. If one provision is unenforceable, the remaining provisions continue to apply. A failure to enforce a provision is not a waiver. The Terms, Privacy Policy, Refund Policy and Standard Asset Licence form the core agreement for marketplace purchases.
